About Fundamental Healthcare
Fundamental Healthcare began as Trans Healthcare, Inc. (THI) and Trans Healthcare Management, Inc., founded in 1998 by private-equity firm GTCR Golder Rauner LLC, under partner Bruce Rauner. In 2005–2006, it was acquired by Leonard Grunstein and Murray Forman, who each contributed a minimal equity and financed the acquisition through debt, forming Fundamental Long Term Care Holdings, LLC in December 2005.
Subsequently, the structure became layered: Fundamental Long Term Care Holdings (FLTCH) was the topmost entity, with Fundamental Administrative Services (FAS) managing operations, and numerous subsidiary LLCs operating individual facilities. THI of Baltimore, a wholly owned subsidiary, guaranteed leases and operated many of the facilities, including skilled nursing and acute-care hospitals.
As of December 31, 2018, Fundamental Healthcare and its subsidiaries operated approximately 90 healthcare facilities across ten states. These included skilled nursing facilities, long-term acute care hospitals, rehabilitation centers, and acute and inpatient psychiatric hospitals, with operations notably concentrated in Nevada, South Carolina, Maryland, and Texas.
By mid-2026, due to contractions in its network, Fundamental Administrative Services is affiliated with 68 nursing-home facilities across seven states: Indiana, Maryland, New Mexico, Nevada, South Carolina, Texas, and Wisconsin. These homes show elevated levels of deficiencies, lower staffing and higher fines compared to national averages, with one facility designated as a Special Focus Facility.
